Terms of Service

These Terms of Service (“Terms”) govern your use of the services provided by The Mindful Agency, a division of Known Digital Agency, LLC (“we,” “us,” “our”).

By joining a membership or using our services, you agree to these Terms.

1. Overview

The Mindful Agency provides subscription-based website services, including design, updates, and ongoing support. All payments are processed on behalf of Known Digital Agency, LLC.

We reserve the right to update or modify these Terms at any time. The latest version will always be available on our website.

2. Membership & Fees

Your membership may include:

  • A professionally built Squarespace website (new or refreshed)

  • Use of one of our premium templates

  • Unlimited updates to existing pages (text, images, layout adjustments, forms, links)

  • Ongoing support

  • Additional benefits depending on your tier (Essentials, Plus, Pro)

Membership fees are billed monthly and begin once your membership is activated, unless otherwise stated in promotional offers. There is no upfront cost to join, unless you agree in writing to additional add-on services. Payment is required to maintain an active website. Failure to pay results in suspension or removal of your website.

3. Website Ownership & Intellectual Property

We build websites using Squarespace.

  • The design, layout, templates, and underlying structure remain the intellectual property of The Mindful Agency.

  • You retain ownership of all content, images, and materials you provide.

  • You are responsible for ensuring you have rights or licenses for all uploaded content.

  • Your domain name always remains yours.

If your membership ends, your website will be unpublished. You may request a buyout of the build for a flat fee ($2,000) to receive a transferable version, subject to platform limitations.

4. Cancellations

You may cancel your membership at any time with 30 days notice.

Upon cancellation:

  • Your website will be taken offline

  • We will remove our management access

  • Your content may be exported upon request

  • No further charges will occur

  • No refunds will be issued for prior payments (except billing errors)

A restoration fee may apply if you return after cancellation.

5. No Refund Policy

Because this is a digital, labor-based service, all payments are non-refundable unless:

  • There is a billing error

  • A duplicate charge occurs

  • You were incorrectly charged after canceling

Membership fees are not tied to usage. Even if you do not request updates, your subscription remains active.

6. Scope of Service

The Essentials Membership includes:

  • Up to 5 pages

  • Unlimited updates to existing pages

  • Template-based design

  • Content formatting

  • Posting blogs you send us

The following are not included unless purchased as add-ons or available in higher tiers:

  • Custom-coded features

  • Complex integrations

  • Advanced SEO, content strategy, or marketing campaigns

  • Redesigns outside the provided template structure

  • Additional pages beyond the included scope

We will always notify you before performing work outside your membership level.

7. Client Responsibilities

You agree to:

  • Provide accurate content and business information

  • Ensure you have rights to all submitted content

  • Respond promptly to requests needed to complete your website

  • Maintain ownership of your domain and third-party accounts

You are responsible for securing and maintaining your own accounts (email marketing tools, CRM, etc.), unless we explicitly manage them.

8. Service Modifications

We may adjust, improve, or discontinue elements of our service offerings at any time.
Changes will not materially reduce your membership benefits without notice.

9. Limitation of Liability

To the fullest extent permitted by law, The Mindful Agency and Known Digital Agency, LLC are not liable for:

  • Loss of revenue

  • Website downtime

  • Third-party service outages

  • Loss of data

  • Errors caused by client-provided content

  • Results or performance of your website

We do not guarantee the number of inquiries, clients, or revenue your website may generate.

10. Payment Terms

By signing up, you authorize recurring monthly charges through our payment processor.

If a payment fails:

  • We will retry your payment method

  • Your website may be suspended until payment is resolved

  • Repeated failures may result in cancellation
